He is really screwing with the BOD of Twitter, as well as their executive management team. He said his bid was based on the SEC filings Twitter made on the number of real accounts, and it very well may be Twitter falsified those filings. So, he might claim his bid is too high based on actual data.

SEC does not take kindly to false filings. SEC could sanction every Board member at Twitter to never be able to sit on any position for any company that is publicly traded. That includes a paid employee position as well, not just as a Board member. And that would be letting them off easy. If it is serious enough could be criminal charges. Maybe instead of buying the company he puts all of these guys out of jobs or worse. And puts an ethical management team in. Or maybe he does both.

He is implying at best perhaps fraud occurred, and perhaps criminal fraud intended for Twitter to defraud investors to create more market value and earnings.

I think he is having a ton of fun. Twitter made a big mistake not playing nice. He probably knew those filings were trash from the beginning.
